Terms of Service
Last updated October 2, 2026
These Terms of Service (“Terms”) govern your access to and use of Relay, a service that connects Meta, Google Ads, and Jobber lead sources to instant SMS notifications. Relay is operated by 11173685 Canada Corporation. By creating an account or using Relay, you agree to these Terms. If you're using Relay on behalf of a business, you're agreeing on that business's behalf and confirming you have the authority to do so.
The service
Relay monitors the lead sources you connect (Meta Lead Ads, Google Ads, Jobber) and sends a text message to the phone number(s) you designate the moment a new lead comes in. Relay does not contact your leads directly, on your behalf, or under your name. Every message sent to a lead is sent by you, from your own device, using your own judgment. Relay's role is to alert you that a lead exists; what you do next is entirely up to you.
Accounts
- You must provide accurate, current information when creating an account, and keep it up to date.
- You're responsible for everything that happens under your account and password, including anyone you invite as a client sub-account.
- You must be at least 18, and the business you represent must be lawfully operating in the jurisdiction it does business in.
- You're responsible for the accuracy of any name, phone number, or email you enter for yourself, a teammate, or a client sub-account. Relay sends confirmation requests to new numbers, but registering someone else's number without their knowledge is your responsibility to avoid, not ours to police.
Your responsibility for messaging compliance
Relay never texts, emails, or otherwise contacts your leads on your behalf. Every message a lead receives is sent by you, personally, from your own phone or email, using contact details Relay surfaces to you. Because of that, you are solely responsible for complying with all applicable laws when you contact a lead, including Canada's Anti-Spam Legislation (CASL), the U.S. Telephone Consumer Protection Act (TCPA), and any other consent, opt-out, or marketing-communication law that applies to you or your leads. Relay is not a party to, and bears no responsibility for, any communication you send to a lead outside the platform.
Internal alerts and reminders that Relay itself sends (to you, your teammates, or your client sub-accounts) are covered separately by our consent-and-confirmation process described in the Privacy Policy. That process governs numbers you register for notifications, not your own outreach to leads.
Text message alerts
- What you get: Relay texts the number you confirm when a new lead arrives from a lead source you connected, plus one reminder if that lead is still marked new two hours later. Relay never texts your leads.
- Opting in: a number only gets alerts after you agree to them and type back the 6-digit code we text to it.
- Frequency and cost: message frequency varies based on your lead volume. Message and data rates may apply.
- Help: reply HELP to any text, or email info@relaylead.ca.
- Opting out: reply STOP to any text and Relay stops texting that number. Reply START to turn alerts back on.
- Carriers are not liable for delayed or undelivered messages.
Subscriptions, billing, and free trials
- Paid plans are billed in advance on a recurring basis through our payment processor, Stripe, at the price shown at checkout or on our pricing page.
- New subscriptions include a free trial period, shown at signup. If you don't cancel before the trial ends, you'll be charged automatically for the plan you selected.
- Subscriptions renew automatically each billing period until cancelled. You can cancel at any time from your account's billing settings; cancellation takes effect at the end of the current billing period, and we don't provide partial-period refunds.
- If a payment fails, we may suspend access to the dashboard until billing is resolved. We'll try to notify you before that happens.
- We may change subscription pricing going forward. We'll give you reasonable notice before a price change takes effect on your account.
Acceptable use
You agree not to:
- Use Relay for any unlawful purpose, or to send unlawful, harassing, or deceptive communications to anyone.
- Connect a Meta, Google Ads, or Jobber account you're not authorized to connect, or otherwise violate those platforms' own terms of service.
- Attempt to access another account or another business's data, including another client sub-account's leads or messages.
- Reverse-engineer, scrape, or attempt to extract the underlying software, or resell access to Relay without our written permission.
- Interfere with or disrupt the service, including attempting to circumvent rate limits, authentication, or the consent-confirmation process.
We may suspend or terminate accounts that violate this section, with or without notice, depending on severity.
Third-party services
Relay depends on third-party platforms we don't control: Meta, Google Ads, Jobber, our SMS provider, and Stripe. We're not responsible for outages, policy changes, or data made available (or unavailable) by these platforms. If a connected platform changes its API or terms in a way that affects Relay, we'll do our best to adapt, but we can't guarantee uninterrupted service through changes outside our control.
Intellectual property
Relay, its software, design, and branding are owned by us and protected by applicable intellectual property laws. These Terms don't grant you any ownership in the service itself, only a limited right to use it under these Terms. You retain ownership of your own business information and lead data; we only use it to provide the service, as described in our Privacy Policy.
Termination
You can stop using Relay and cancel your subscription at any time. We may suspend or terminate your account for violating these Terms, non-payment, or if required by law. On termination, your right to access the dashboard ends immediately; data retention and deletion after that point follows our Privacy Policy.
Disclaimers
Relay is provided “as is” and “as available,” without warranties of any kind, express or implied, including any warranty that the service will be uninterrupted, error-free, or that every lead notification will be delivered instantly or at all. Text message delivery depends on carriers and third-party infrastructure outside our control.
Limitation of liability
To the maximum extent permitted by law, Relay and its owners and operators will not be liable for any indirect, incidental, special, or consequential damages, including lost profits or lost business opportunities (such as a missed lead), arising from your use of the service. Our total liability for any claim relating to Relay is limited to the amount you paid us in the 3 months before the claim arose.
Indemnification
You agree to indemnify and hold Relay harmless from any claim arising from your use of the service, your violation of these Terms, or your own communications with a lead, including any claim that a message you personally sent violated CASL, the TCPA, or any other law.
Governing law
These Terms are governed by the laws of Canada, without regard to conflict of law principles. Any dispute arising from these Terms or your use of Relay will be resolved in the courts of that jurisdiction.
Changes to these terms
If we make material changes to these Terms, we'll update the date at the top of this page. Continued use of Relay after a change means you accept the updated Terms.
